01About these terms

These terms and conditions (the “Terms”) govern your use of this website (the “Website”), including when you submit a financing query or documents through it.

“INDUZZ”, “we”, “us” and “our” refer to INDUZZ and the INDUZZ group companies through which we provide our services in different countries. “You” means the person using the Website and, where you act on behalf of a business, that business as well.

By using the Website you accept these Terms. If you do not accept them, please do not use it.

We may update these Terms from time to time. The version on this page, dated at the top, applies each time you use the Website.

02Who this website is for

The Website and our services are intended for businesses – including companies, partnerships, family businesses and family offices – and for individuals acting in a business or professional capacity. They are not intended for consumers.

By using the Website you confirm that you are acting for purposes relating to your trade, business or profession and, if you submit a query on behalf of a business, that you are authorised to do so.

The Website is not directed at any person in any jurisdiction where its publication or availability would be unlawful. You are responsible for making sure your use of it complies with the laws that apply to you.

03What the website does – and doesn’t do

The Website describes the trade and corporate finance advisory services we provide, including trade finance (letters of credit, bank guarantees and standby letters of credit), working capital and alternative financing, mergers and acquisitions, treasury and payments, project finance, and banking compliance and regulatory advisory.

INDUZZ is not a bank or a lender. We do not accept deposits, we do not lend our own money, and we do not ourselves issue letters of credit, guarantees, standby letters of credit or any other financial instrument. Where finance is provided or an instrument is issued, that is done by a bank or financial institution on its own terms, following its own credit, compliance and approval processes, which we do not control.

Nothing on the Website is an offer to provide finance or any other service, and nothing on it creates a contract to do so. The content of the Website is general information, not advice – please read our Disclaimer.

04Submitting a query

Submitting a financing query does not create an engagement, a client relationship or any obligation on either side. We review every query we receive, but we may decline any query, or stop discussing it, at our discretion and without giving reasons.

An engagement begins only when you and the relevant INDUZZ company sign a written engagement letter. That letter – not these Terms – sets out the scope of our work, our fees and each party’s responsibilities. If an engagement letter conflicts with these Terms, the engagement letter prevails.

When you submit a query or documents, you confirm that:

1. the information is, to the best of your knowledge, accurate, complete and not misleading;
2. you are entitled to share it with us, and doing so does not breach any duty of confidence, contract or law;
3. where it includes personal information about other people – for example directors, shareholders, beneficial owners, guarantors or employees – you have told them you are sharing it with us and referred them to our Privacy Policy; and
4. the files you upload do not contain viruses or other malicious code.

Before we agree to act, and at any time during an engagement, we may ask for further information to verify your identity and your business, and to meet our know-your-customer, anti-money-laundering and sanctions obligations. We may decline to proceed if that information is not provided or does not satisfy us.

05Confidentiality

We treat the information and documents you submit as confidential. We will not disclose them to prospective lenders, banks, investors, counterparties or any other third party without your agreement, except:

1. to our personnel, other INDUZZ group companies, and our professional advisers and service providers, where they need the information to help us assess or respond to your query and are bound by obligations of confidentiality;
2. where we are required to by law or regulation, or by a court or a regulatory, tax or law-enforcement authority; or
3. where the information is already public, other than through a breach of these Terms by us.

06Fees

We do not charge for submitting a query or for our initial review of it. Fees for our services are agreed in writing, in an engagement letter, before they are incurred.

We will never ask you to make a payment into a personal bank account. If anyone claiming to represent INDUZZ asks you to, do not pay – contact us first. Our Disclaimer explains how to check that a request genuinely comes from us.

07Sanctions and financial crime

We do not act for, or in connection with transactions involving, any person, entity or jurisdiction subject to sanctions imposed by the United Nations, or by any country or bloc whose sanctions apply to us or to the transaction, where doing so would be unlawful or inconsistent with our compliance policies.

By submitting a query you confirm that neither you nor your business – nor, to your knowledge, any of its owners or directors, or any counterparty to the transaction you describe – is the subject of such sanctions, and that you will tell us promptly if that changes.

08Using the website

You must not:

1. use the Website for any unlawful or fraudulent purpose, or in connection with money laundering, terrorist financing or the evasion of sanctions;
2. submit information that is false or misleading, or impersonate any person or business;
3. attempt to gain unauthorised access to the Website, the servers it runs on, any system connected to it, or any area reserved for INDUZZ personnel;
4. introduce viruses or other harmful material, or interfere with the Website’s operation or security;
5. use automated tools to scrape, copy or extract content from the Website, other than for ordinary search engine indexing; or
6. use the Website or its content to suggest that INDUZZ endorses, is affiliated with or has approved any person, product or transaction.

09Intellectual property

The Website and its content – including its text, design, graphics and illustrations, and the INDUZZ name and logo – are owned by or licensed to INDUZZ and protected by intellectual property laws. You may view and print pages for your own business use in considering our services. You may not otherwise copy, reproduce, adapt or distribute them without our written permission.

You keep ownership of the information and documents you submit. You allow us to use them to assess and respond to your query and, if we are engaged, as set out in the engagement letter.

10Links to other websites

The Website may link to websites run by other people. We do not control those websites and are not responsible for their content, availability or privacy practices. A link is not an endorsement.

11Availability and accuracy

We provide the Website free of charge, on an “as is” and “as available” basis. We may change, suspend or withdraw any part of it at any time, and we do not guarantee that it will always be available, uninterrupted, secure or free from errors.

We take reasonable care over the Website’s content, but we do not guarantee that it is accurate, complete or up to date, and we are under no obligation to update it.

12Our liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Subject to that, and to the fullest extent permitted by law:

1. we exclude all conditions, warranties, representations and other terms that might otherwise be implied into these Terms;
2. we are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, contracts, anticipated savings, goodwill or opportunity, for any loss or corruption of data, or for any indirect or consequential loss, arising out of or in connection with the Website;
3. we are not liable for any loss arising from your reliance on content on the Website, from any decision made by a bank, lender or other financial institution, or from any delay in, or refusal of, finance or an instrument; and
4. our total liability to you arising out of or in connection with your use of the Website is limited to USD 100.

These limits apply to your use of the Website. Our liability in connection with an engagement is governed by the relevant engagement letter.

13Governing law and jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Website, are governed by the law of the country in which the INDUZZ company you deal with is established, and the courts of that country have exclusive jurisdiction to settle them.

Engagements are governed by the law and dispute-resolution terms set out in the relevant engagement letter.

14General

1. If a court finds any part of these Terms invalid or unenforceable, the rest of the Terms continue in full force.
2. If we do not insist on a right, or delay in doing so, we have not waived that right.
3. These Terms, together with our Privacy Policy and Disclaimer, are the entire agreement between you and us about your use of the Website. They do not affect any engagement letter.
4. No one other than you and INDUZZ has any right to enforce these Terms.
5. We may transfer our rights and obligations under these Terms to another organisation, including between INDUZZ group companies. You may not transfer yours without our written consent.
6. These Terms are written in English. If they are translated into any other language, the English version prevails.
